1. Introduction and The Parties
Welcome to Colltrain.com!
These Terms of Service (“Terms”, “Terms of Service”) govern your use of our website located at colltrain.com (together or individually “Service”).
1.1. Definition of Service
Colltrain is an educational technology (EdTech) Software-as-a-Service (SaaS) platform, serving as the Experiential Learning Platform for Virtual and Classroom Training.
The Service provides the cloud-based infrastructure and tools necessary to facilitate immersive, practical learning experiences, allowing organisations to manage learners, allocate educational resources (seats), and deliver training content across both virtual and physical classroom environments.
1.2. The Manufacturer
Centriqa Services & Solutions SRL (the “Manufacturer”), a company registered in Romania, with its registered office at 7, Iuliu Maniu Boulevard, Cotroceni Business Center, U Building, 4th Floor, Bucharest, Romania, Postal Code: 061072, VAT Code: RO 30879182, Trade register: J40/13052/2012.
Centriqa is the developer and owner of the software and acts as the primary seller for customers located within the European Union (EU).
1.3. The Distributor
Axioma Solutions UK Limited (the “Distributor”), a company incorporated in England and Wales, having its registered office and place of business located at 56 Elton Avenue, Greenford, Middlesex, UB6 0PP, registration number 09696998, UK VAT registration number 249215795.
Axioma Solutions UK Limited acts as the authorised distributor for the software within the United Kingdom and on a global scale.
1.4. The Customer
The individual or legal entity purchasing or using the software, hereafter referred to as the “Customer”.
2. Contractual Relationship and Policies
2.1. Contracting Entity
Depending on the Customer’s location and the entity issuing the invoice, the contractual relationship shall be established either with Centriqa Services & Solutions SRL (for EU-based transactions) or Axioma Solutions UK Limited (for UK and global transactions).
2.2. Intellectual Property Ownership
For the avoidance of doubt, while Axioma Solutions UK Limited manages distribution, sales, and support globally, the intellectual property rights and software manufacturing remain the sole property of Centriqa Services & Solutions SRL.
2.3. Privacy Policy
Your use of the Service is also governed by our separate Privacy Policy. This document explains how we collect, safeguard, and disclose information. By using the Service, you acknowledge that you have read and agree to the terms of the Privacy Policy.
2.4. Refund Policy
All refund requests are governed by the detailed “Refund Policy for Colltrain.com“.
By using the Service, you acknowledge that you have read and agree to the terms set out in that specific policy.
3. Communications and Language
3.1. Language of Service
The primary language for all official communications, documentation, contracts, and end-user support is English.
Any alternative language for communication shall only be utilised if specifically agreed upon in writing by both the Company and the Customer.
3.2. Communications to Registered End Users:
3.2.1. Marketing and Commercial Communications
You may opt-out of receiving marketing or promotional materials at any time by following the unsubscribe link or by emailing client_support@colltrain.com.
3.2.2. Mandatory Operational Communications
For the proper functioning, security, and administration of the Service, you acknowledge that you cannot opt-out of “Essential Communications”.
These include, but are not limited to:
- Account Security: Notifications regarding account access, password resets, and Two-Factor Authentication (2FA) alerts.
- Organisation Management: Invitations to join an organisation, notifications regarding the removal of access from an organisation, and updates regarding changes to user rights and permissions.
- Service Status: Maintenance messages, version updates, product roadmap announcements, and notices regarding planned temporary service interruptions.
- Billing & Subscriptions: Invoicing, subscription renewal notices, and notifications regarding subscription expiry.
- Financial Updates: Information regarding changes to pricing or the configuration of plans and subscriptions.
- Administrative Requests: Specific requests directed to Organisation Administrators or users regarding required account settings or configurations.
4. Purchases, Payment Processing and Taxation
4.1. Payment Processor
To facilitate secure payment processing, we use Stripe (https://stripe.com).
By completing a purchase, you acknowledge and agree that your payment information will be processed by Stripe. We share only the necessary information with Stripe to complete the transaction, and your data is handled in accordance with Stripe’s privacy policy.
4.2. VAT and Taxes
Value Added Tax (VAT) will be applied based on the location of the Customer and the respective issuing entity (Centriqa or Axioma). The Customer is responsible for any local import duties or taxes applicable in their specific jurisdiction.
4.3. Purchase Terms
You represent and warrant that: (i) you have the legal right to use the payment method provided; and (ii) the information supplied is true, correct, and complete.
4.4. Order Cancellation
We reserve the right to refuse or cancel your order at any time for reasons including but not limited to product availability, errors in pricing, or suspected fraud.
4.5. Trade Compliance and Restrictions
The Service and its subscriptions are not available for purchase, sale, or use in any country or territory subject to comprehensive trade sanctions, embargoes, or restrictive measures imposed by the European Union (EU) or the United Kingdom (UK).
By purchasing a subscription, the Customer represents and warrants that they are not located in, and are not acting on behalf of, any such restricted jurisdiction.
5. Subscriptions and Plans
5.1. Standard Subscriptions
Some parts of the Service are billed on a subscription basis. You will be billed in advance on a recurring basis (“Billing Cycle”). Subscriptions automatically renew unless cancelled.
5.2. The Hobby Plan
We offer a “Hobby” subscription for limited use. Details are available on our pricing page.
- Permanence: The Hobby Plan is a permanent version of the Service and does not expire.
- Modifications: Benefits and limitations may be modified by the Company without prior notice, provided they are explicitly updated in the Hobby Plan definition on the pricing page.
5.3. Limited Pass (7 Days)
The “Limited Pass” provides full access to all premium features for seven (7) consecutive days.
Upon expiry, the subscription will not automatically renew unless upgraded; instead, the account will automatically revert to the Hobby Plan.
5.4. Lifetime Access Plan
From time to time, the Company may offer a “Lifetime Access” plan. This is not a standard subscription and is available exclusively during specific promotional periods at the sole discretion of the Company.
Once purchased, it grants access for the lifetime of the product.
5.5. Payment Failures
Should automatic billing fail for any reason, we reserve the right to terminate your access to the Service with immediate effect.
6. Free Trial and Fee Changes
6.1. Free Trial
We may offer a limited-time Free Trial. If billing information is provided upon sign-up, you will be charged the applicable Subscription fees automatically upon the expiry of the trial unless the Subscription is cancelled.
6.2. Fee Changes
We may modify Subscription fees at our sole discretion. We will provide reasonable prior notice of any change to allow you to terminate your Subscription before the change takes effect.
7. Refunds
7.1. Request Window
Requests for refunds must be submitted in writing via email within a maximum of 72 hours from the date of the contract signing (purchase).
7.2. Analysis and Processing
Upon receipt of a request, the Company will allocate a maximum of five (5) business days to analyse the claim. If approved, the refund will be processed; however, the date it becomes effective is dependent upon the specific processing times of the payment channel used (e.g., Stripe, bank transfer, or reverse payment links).
7.3. Refund Intent
While it is our intention to provide full refunds for approved requests, the Company reserves the right to assess each case individually in accordance with the Refund Policy for Colltrain.com.
7.4. Abuse of Policy
The Company reserves the right to monitor refund patterns.
If a user is found to be abusing the refund policy, the Company may suspend the account.
We define “abuse” as any pattern of behaviour that suggests the refund system is being used for non-genuine purposes.
After two (2) such instances that we consider to be abusive, the account may be suspended without further notice.
8. Content
Our Service allows you to post, link, store, and share certain material (“Content”). You are responsible for the legality and appropriateness of your Content. By posting Content, you grant us the right and licence to use and distribute such Content on and through the Service.
9. Prohibited Uses (Acceptable Use Policy)
9.1. General Use
The Service is intended exclusively for educational and professional purposes. You agree not to use the Service for any unlawful purpose or in any manner that would violate local, national, or international law.
9.2. Explicit Prohibitions
You are strictly prohibited from using Colltrain, Colltrain Activities, or Colltrain Tools to create, store, or distribute content related to:
- Illegal and Harmful Content: Including but not limited to pornography, explicit sexual material, child sexual abuse material (CSAM), promotion of terrorism, extremist ideologies, or the incitement of violence.
- Hate Speech and Harassment: Content that promotes hate, discrimination, or violence against individuals or groups based on race, religion, gender, sexual orientation, disability, or ethnic origin.
- Fraudulent and Illegal Activities: Including but not limited to gambling, unregulated betting, phishing, financial scams, Ponzi schemes, or the sale of prohibited goods and services.
- Technical Abuse: Introducing malicious software (viruses, trojans, etc.), attempting to reverse engineer the software, conducting denial-of-service (DoS) attacks, or unauthorised data scraping.
9.3. Enforcement and Consequences
The Company maintains a zero-tolerance policy regarding the aforementioned prohibitions. Any breach of this section shall entitle the Company to:
- Terminate or suspend the account immediately and without prior notice.
- Forfeit any remaining subscription fees (no refunds shall be issued for accounts terminated due to prohibited use).
- Report the activity to the relevant law enforcement agencies and authorities, particularly in cases of child abuse, terrorism, or cybercrime.
10. Analytics
We may use third-party Service Providers to monitor and analyse the use of our Service.
11. Age Restrictions and Educational Use
11.1. Colltrain is an educational technology (EdTech) platform. The Service is intended for access and use by individuals at least eighteen (18) years of age, who shall be responsible for the creation of accounts and the purchase of Subscriptions.
11.2. Notwithstanding the above, the Service may be used by minors exclusively for educational and learning purposes, provided that such access is granted via an invitation from an authorised educator, professor, trainer, or corporate administrator.
11.3. Minors are strictly prohibited from purchasing access to the Service or entering into any financial agreement with the Company. Their participation is limited to attending training or instruction sessions within the framework of the authorised user’s organisation.
11.4. By inviting a minor to use the Service, the educator or organisation assumes full responsibility for the minor’s use of the platform and ensures that such use complies with local laws and parental consent requirements.
12. Accounts and Organisation Management
12.1. Authentication
Access to the platform is granted via email and password, or through authentication via approved third-party providers, including Microsoft, Google, and LinkedIn.
12.2. Organisation Administration
Any user who creates an account may define their own “Organisation”. The creator of the Organisation acts as the Administrator and assumes full responsibility for:
- Inviting new users to the Organisation.
- Granting or revoking user rights and permissions.
- Purchasing subscriptions provided as “seats”.
- Allocating those seats/subscriptions to specific users within the Organisation.
12.3. Security
You are responsible for maintaining the confidentiality of your account and password.
12.4. Data Privacy and Access Control
For the avoidance of doubt, representatives and employees of Colltrain shall not have direct, unsolicited access to the applications, activities, or data designed and stored within a Customer’s Organisation.
Access may be granted exclusively upon the Customer’s voluntary request for technical support or design assistance. In such instances, the Customer shall explicitly invite the designated Colltrain representative(s) to join their Organisation, thereby granting temporary access to the Customer’s activity library. The Customer retains full control over this access and may revoke it at any time, particularly upon the completion of the requested task.
13. Intellectual Property and Licence Grant
13.1. Ownership
The Service and its original content, features, and functionality are and will remain the exclusive property of Centriqa Services & Solutions SRL.
13.2. SaaS Licence Grant
The Customer is granted a non-exclusive, non-transferable, and revocable licence to access and use the software (Software-as-a-Service) for the duration of the Subscription. This licence does not transfer any ownership of the code or intellectual property to the Customer.
13.3. Colltrain Library Rights
For activities provided within the “Colltrain Library,” the Company grants Customers the right to duplicate such activities and create derivative works without the requirement to attribute the original source.
- 13.3.1. Scope of Use
This right is strictly limited to use within the Colltrain platform and within the Customer’s own Colltrain Organisation. - 13.3.2. Permitted Modifications
Users are permitted to modify duplicated activities, including but not limited to: design, name, activity cover, description, instructions, attached files, colour schemes, and other configuration elements. - 13.3.3. Sharing
Activities created or modified by the Customer may be executed by users within their own organisation or shared with other organisations using the platform’s “Share” functionality.
13.4. Waiver of Intellectual Property Claims
In the event that a Customer invites Colltrain representatives into their Organisation for support or design purposes, the Customer hereby agrees that such access shall not constitute a breach of confidentiality nor a violation of copyright.
The Customer expressly waives any right to claim copyright infringement or to preclude the Manufacturer from developing, distributing (free of charge), or commercialising training activities that may be similar in nature, logic, or methodology to those held by the Customer.
The Manufacturer retains the absolute right to innovate and create similar educational content for the benefit of the wider Colltrain ecosystem.
14. Copyright Policy & DMCA
We respect the intellectual property rights of others. Copyright infringement claims should be submitted via email to client_support@colltrain.com.
15. Error Reporting and Feedback
Feedback provided to the Company is granted on a non-confidential basis. You grant the Company a perpetual, irrevocable, and free-of-charge right to use any Feedback for any purpose.
16. Links to Other Web Sites
Our Service may contain links to third-party web sites. We assume no responsibility for the content or practices of any third-party web sites.
17. Disclaimer of Warranty
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. THE COMPANY MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SERVICES.
18. Limitation of Liability
EXCEPT AS PROHIBITED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, PUNITIVE, OR CONSEQUENTIAL DAMAGES. IF LIABILITY IS FOUND, IT WILL BE LIMITED TO THE AMOUNT PAID FOR THE PRODUCTS AND/OR SERVICES.
19. Termination
We may terminate or suspend your account immediately, without prior notice or liability, under our sole discretion, for any reason, including a breach of these Terms.
20. Dispute Resolution and Mediation
20.1. Informal Negotiation
In the event of any dispute, claim or controversy arising out of or relating to these Terms, the parties shall first attempt to resolve the matter through good-faith negotiations via email.
20.2. Mediation
If the dispute cannot be resolved through informal negotiation within thirty (30) days, the parties agree to attempt to resolve the dispute through a mediation process before resorting to litigation.
20.3. Litigation
If mediation fails to resolve the dispute, the matter shall be settled in the competent courts of the jurisdiction specified in the Governing Law section below.
21. Governing Law
21.1. For transactions and contracts managed by Axioma Solutions UK Limited, these Terms shall be governed and construed in accordance with the laws of England and Wales.
21.2. For transactions and contracts managed by Centriqa Services & Solutions SRL, these Terms shall be governed and construed in accordance with the laws of Romania and the applicable laws of the European Union (EU).
22. Changes to Service and Amendments to Terms
We reserve the right to withdraw or amend our Service without notice. We may amend these Terms at any time by posting the revised version on this site. Your continued use of the Service constitutes acceptance of the revised Terms.
23. Waiver and Severability
If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions will continue in full force and effect.
24. Acknowledgement
BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE AND AGREE TO BE BOUND BY THEM.
